New charitable companies
We can assist with the establishment of new charitable companies and their subsequent registration as charities in England and Wales with the Charity Commission (or in Scotland with the Office of the Scottish Charity Regulator).


Conversions of existing unincorporated charities into charitable companies
We can assist with such conversions, which involve establishment of a new company limited by guarantee, its registration as a charity, formal closure of the old charity and transfer of its funds and assets to the new charitable company.


Trading subsidiaries for charities
Charities often incorporate trading subsidiaries, to carry out trading activities to raise funds for their charitable purposes. We can arrange incorporations of new subsidiaries, providing suitable safeguards for the charity in the structure and in the new company’s constitution. We can also assist in altering the arrangements in place in respect of any existing subsidiaries.


Charitable incorporated organisations
This new corporate legal form will be available for charities in England and Wales in January 2008 and in Scotland by summer 2008.


Community interest companies
This corporate form can be used by a company that meets the “community benefit” test. It is not available to charities.
