Company strike off
 

When your company is no longer required, perhaps as a result of a business re-organisation or if the company ceases to trade, the company may be struck off the register using the process in the Companies Act 1985. This process is only suitable for companies which have no assets or liabilities.

Under this process, the directors of the company can apply to the Registrar to have the company removed from the Register.

The directors have to make a declaration that the company has not traded or changed its name within the last 3 months and that the company is not subject to any winding up or insolvency procedure. Copies of the application must also sent to members and creditors of the company (such as HMRC) so that they have the opportunity to object to the strike off.

The company needs to be up to date with its filings of annual returns and accounts at Companies House before it applies for strike off.

If no objections are received, the Registrar will remove the company from the Register.
