Introduction to Jordans

Jordans Limited is one of the UK’s foremost and largest specialist providers of legal services to the professions (especially solicitors, accountants, chartered secretaries) and to commerce in general.


Our pedigree in charity matters

In the field of charities, Jordans are active in promoting legal knowledge and good practice through our training courses and books, by articles in the professional press and through briefings and lectures. We also take a keen interest in the development of the law and regularly provide comments and submissions to relevant law reform processes in both England and Wales and Scotland.


We assist new and existing charities to create an appropriate and practical constitution, suitable internal controls and governance procedures, together with an effective administrative structure. Governance reviews can be undertaken, for both charities and their trading subsidiaries, in order to provide modern, legally compliant and practically effective governance regimes, suitable for their specific needs and circumstances.

We incorporate companies seeking registration as charities in England and Wales and in Scotland and deal with charity registrations in both UK jurisdictions. We establish trading subsidiaries for charities.

On a regular basis, we deal with conversions of unincorporated charities to charitable companies limited by guarantee and custom draft charities’ constitutions (either for new charities or to update the constitutions of pre-existing charities to current company and charity law requirements and good practice standards). We also assist in relation to alterations to structures and arrangements (for instance in relation to administration and governance, trading activities or trading subsidiaries).

Jordans offers a range of company secretarial and administration services for charities and their trading subsidiaries. Those include annual subscription company secretarial and registered office services.

Charities and Voluntary Sector Department

We have a dedicated specialist Charities and Voluntary Sector Department. This leads our major activities in relation to charities, social enterprises and the wider (not-for-profit” sector. It also supports activities in those fields undertaken by other parts of our group, including Jordan Publishing Limited and Oswalds, our Scottish operation.

Cecile Gillard is the Head of the Charities and Voluntary Sector Department. She has spent time working in corporate legal matters of a commercial nature and now specialises in legal work relating to charities, social enterprises and other (not-for-profit” entities. Besides advising clients, Cecile speaks regularly on her specialist areas and is a General Editor of Jordans looseleaf publication “Charities Administration Service” and co-author of Jordans “Company Secretarial Precedents”.

Cecile belongs to the Charity Secretaries Group of the Institute of Chartered Secretaries and Administrators and is a Fellow of the Royal Society for the Encouragement of Arts, Manufactures and Commerce (the RSA), which she was invited to join in view of her contribution to the charity sector. She has served on the Charity Law Association’s Working Party on the Company Law Reform Bill (now the Companies Act 2006) and ICSA Working Parties for both the Companies Act 2006 and Charities Act 2006.

Cecile serves as a trustee in a voluntary capacity, so she has considerable understanding of and empathy with charity and voluntary sector clients and their trustees/directors and secretaries of charities, as well as with their professional advisers.
