Helen has considerable expertise in the various statutory and legal transactions that a company has to undertake and manage throughout their lifetime, and specialises in group re-organisations, share for share exchanges and purchase of own share transactions.
Helen and her team enjoy the specialist nature carried out by this department and the challenges that can arise in creating the most suitable business framework or structures tailored to meet each business' unique requirements.
Adam Wadsley has a law degree and joined Jordans after completing his Bar Vocational Course at the University of West of England..
Adam specialises in share capital changes. There are numerous changes that can be made to share capital including different voting, income or capital rights, or to add special rights to classes of shares, for example to appoint directors.
Adam can also assist in rights issues and bonus issues.
Karina James-Wiltshire has a law degree and joined Jordans after completing her Bar Vocational Course at the University of West of England.
Karina specialises in reviewing and updating constitutional documents. A company’s memorandum and articles may require amendment for so many different reasons: for general updating to comply with current practice, to implement a specific transaction, to cater for changes in share capital, joint venture investments or to implement employee incentives.
Karina can also assist with company restorations, charge registration and re-registrations.
