The Companies Act 2006 - a practical guide

Drawn largely from Jordans own day-to-day experience of the Act, this seminar will benefit anyone faced with the practical implications of the new legislation.

Solicitors, accountants, company secretaries and those with corporate compliance responsibilities will gain a useful insight into the issues faced by companies and their advisers since the Act’s implementation last October. They will be able to take away useful, practical solutions they can put into practice.

During the seminar, Jordans’ expert speakers will explore topics such as:

1) The Companies Act – a review of key changes

2) Constitution – articles - changes and updating

3) Share capital – reduction of capital and other recent changes

Speakers

Kathleen O'Reilly - Senior Legal Advisor, Jordans Limited
Kathleen is a qualified solicitor with over 12 years corporate and commercial experience. As Jordans Senior Legal Advisor, she addresses corporate compliance and regulatory issues on a daily basis for all parts of the Jordans Group. Kathleen was asked to attend the Law Society's Company Law committee in light of the recent work that she carried out in preparing Jordans and its group companies for the Companies Act.


Peter Van Duzer

Peter is a non-practising solicitor, company secretary, consultant and lecturer. He is author of Companies Act 2006 - A Guide for Private Companies (2nd edition published 2009) and co-author of Jordans Company Secretarial Precedents. He is also a longstanding contributor to the Loose-leaf Company Administration and Governance.


David Impey – Solicitor
A solicitor specializing in company law, David  is co-author of 'The Company Director, Powers, Duties and Liabilities', 'Running a Limited Company', 'The Modern Law of Meetings' and 'Reminders for Company Secretaries' all published by Jordans.  He is also a contributor to Jordans major loose-leaf work, Corporate Administration and Governance. David lectures frequently on company law issues in the UK and overseas.
